Explanation of Responses:

1. Each restricted stock unit represents a contingent right to receive one share of AMSWA common stock

2. The restricted stock units vest in full on the first anniversary of the Grant Date (the "Vesting Date"), subject to Award Recipient's continued service as a Director of Company on the Vesting Date. For avoidance of doubt, there shall be no proportionate or partial vesting of the RSU's prior to the Vesting Date.
