Explanation of Responses:

1. This option shall vest in full upon the earlier to occur of (i) June 17, 2023 and (ii) the Issuer's next annual meeting of stockholders.

2. Each restricted stock unit represents a contingent right to receive one share of common stock.

3. On June 17, 2022, the reporting person was granted 1,500 restricted stock units, which shall vest in full upon the earlier to occur of (i) June 17, 2023 and (ii) the Issuer's next annual meeting of stockholders.
