Explanation of Responses:

1. The options ("Option" and collectively, "Options") have been issued from the Company's 2023 Equity Incentive Plan, that was approved by the Members of the Board of Directors on February 22, 2024.

2. The Options will vest and become exercisable immediately, containing a cashless exercise provision. The 40,000 Options shall be Incentive Stock Options.
