Explanation of Responses:

1. The restricted stock units were issued to the reporting person pursuant to the Issuer's 2014 Equity Compensation Plan in lieu of quarterly retainer fees of $21,250 for the period beginning January 1, 2021 and ending March 31, 2021.

2. The restricted stock units vest immediately. The vested restricted stock units will convert into shares of common stock on the date of reporting person's separation from service from the Board of Directors.
