1. Represents an award of restricted stock units ("RSUs"). Each RSU represents the contingent right to receive one share of the Issuer's common stock. The RSUs vest over a four-year period, with the first 25% vesting on October 11, 2022 and the remaining vesting in even monthly increments thereafter.
