Explanation of Responses:

1. The price reported in Column 4 is a weighted average price. These shares were sold in multiple transactions ranging from $56.59 to $57.27, inclusive. The reporting person undertakes to provide to the Issuer, any security holder of the Issuer, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the range set forth above.

2. The option becomes exercisable over three years, with one-third (1/3) becoming exercisable on each of the first three anniversaries of the date of grant.

3. The option, representing a right to purchase a total of 798 shares, became exercisable in four equal annual installments beginning on March 3, 2016, which was the first anniversary of the date on which the option was granted.

4. The option, representing a right to purchase a total of 934 shares, became exercisable in four equal annual installments beginning on March 1, 2017, which was the first anniversary of the date on which the option was granted.

5. The option, representing a right to purchase a total of 1,933 shares, became exercisable in four equal annual installments beginning on July 1, 2017, which was the first anniversary of the date on which the option was granted.

6. The option, representing a right to purchase a total of 1,945 shares, became exercisable in three equal annual installments beginning on March 14, 2020, which was the first anniversary of the date on which the option was granted.

7. The option, representing a right to purchase a total of 4,202 shares, became exercisable in three equal annual installments beginning on March 14, 2020, which was the first anniversary of the date on which the option was granted.

8. The option, representing a right to purchase a total of 2,756 shares, became exercisable in two equal annual installments beginning on February 28, 2021, which was the first anniversary of the date on which the option was granted.
