Explanation of Responses:

1. Represents the number of shares withheld to pay taxes incurred on the vesting of 10,000 restricted stock units on July 9, 2023 which convert into common stock on a one-for-one basis. The shares withheld are purchased directly by Sunlight Financial Holdings Inc. to cover the tax liability and such shares are held in treasury.
