| 1. Each Restricted Stock Unit ("RSU") represents a contingent right to receive one share of the Issuer's Common Stock. |
| 2. The share amount has been adjusted to reflect the reverse stock split effective on February 7, 2025 whereby every sixteen shares issued and outstanding prior to the split were combined and converted into one share of common stock. |
| 3. The RSUs will vest and settle as to 100% of the total number of RSUs on the first anniversary of the grant date, subject to the Reporting Person's continuous employment with the Issuer through such date. |
| 4. The Reporting Person was granted an option to purchase 1,875 shares of common stock, which vests as to 50% on each of the first and second anniversaries of the grant date, subject to the Reporting Person's continuous employment with the Issuer through the relevant vesting dates. |
