Explanation of Responses:

1. The securities are held directly by the Bruce Ogilvie, Jr. Trust dated January 20, 1994, of which the reporting person is a trustee.

2. The securities are held directly by the Ogilvie Legacy Trust dated September 14th, 2021, of which the reporting person was the grantor and the reporting person's two adult children are the trustees. The reporting person disclaims beneficial ownership of the shares held by such trust except to the extent of his pecuniary interest therein.
