Explanation of Responses:

1. Includes shares issued to the reporting person pursuant to two restricted stock grants: (i) a grant in the amount of 300,000 shares where restrictions lapse as to 100,000 shares on each of July 1, 2022, January 1, 2023, and January 1, 2024; and (ii) a grant in the amount of 45,000 shares where restrictions lapse as to 15,000 shares on each of July 1, 2022, January 1, 2023 and January 1, 2024.

2. Issued pursuant to a grant of 250,000 stock options under the Company's 2016 Stock Incentive Plan. Options are subject to time vesting and become exercisable as follows: 125,000 options vest on January 1, 2024 and 125,000 options vest on January 1, 2025.
