Explanation of Responses:

1. Issuance of common stock by the Issuer to the Reporting Person in satisfaction of a commercial agreement.

2. This Form 4 Amendment is being filed for the sole purpose of correcting the Amount of Securities Beneficially Owned Following Reported Transactions in Column 5 of Table I. In every other regard, this Form 4/A is identical to the Form 4 filed on December 2, 2022.
