Explanation of Responses:

1. The option vests as to 12/48th of the shares on August 2, 2022 and vests as to 1/48th of the shares at the end of each calendar month thereafter, provided that the Reporting Person continues to serve as the issuer's Chief Scientific Officer on each vesting date.

2. Each restricted stock unit ("RSU") represents a contingent right to receive one share of issuer's common stock.

3. Subject to the Reporting Person's continued employment as the Chief Scientific Officer of the issuer, the RSUs will vest as to all 50,000 shares of common stock on August 2, 2022.
