Explanation of Responses:

1. Shares withheld by Gen Digital Inc. to satisfy tax withholding requirements on vesting of restricted stock units (RSUs). No shares were sold.

2. On July 10, 2020, Mr. Pilette was granted 250,166 shares of performance-based restricted stock units (PRUs). The PRUs vest based on Gen Digital's performance in achieveing target total shares return (TSR) and target compound annual growth rate (CAGR) over a three-year fiscal period ending March 31, 2023, as determined by the Compensation and Leadership Development Committee, up to 200%. The performance criteria was determined to have been met at 171.085% of the target, resulting in the vesting of 427,997 PRUs.
