Explanation of Responses:

1. Each Restricted Stock Unit represents a contingent right to receive one share of Hallador Energy Common Stock. Vested shares will be delivered to the reporting person pursuant to the terms of the Amended and Restated 2008 RSU Plan.

2. The reporting person's spouse, Alexa C. Bilsland, is trustee of the Alexa C. Bilsland Revocable Trust. The reporting person disclaims beneficial ownership in such shares.

3. Restricted stock units shall vest in the amount of 105,079 restricted stock units on March 31st of each of 2025 and 2026, and 105,078 restricted stock units on March 31, 2027, subject to the Covered Person's continued Service, as defined in the RSU Plan, through the applicable vesting date, and shall vest in full subject to the Covered Person's continued Service through to the date of a Change in Control, as defined in the RSU Plan, and otherwise in accordance with the terms of the RSU Plan and the applicable award agreement.
