1. Each Restricted Share Unit ("RSU") represents a contingent right to receive one share of the Issuer's common stock. Vested RSUs settle in cash or shares at the discretion of the Issuer as soon as administratively feasible following the vesting date. RSUs shall vest in full on March 1, 2028 and do not expire.
