Explanation of Responses:

1. The reporting person is a participant in the Issuer's Amended and Restated 2013 Stock Option and Incentive Plan (the "Plan") and received 39,000 non-qualified stock options on June 23, 2021 (the "Grant Date"). The non-qualified stock options shall vest and become exercisable in 48 equal monthly installments from the Grant Date.
