Explanation of Responses:

1. Reflects a grant of restricted stock units ("RSUs") that was made to the reporting person on May 4, 2023 and that will vest on the earlier of the one-year anniversary of the date of grant or the first annual shareholder's meeting after the grant date. The reporting person has elected to defer 100% of this RSU award.

2. The amount of securities beneficially owned following the reported transaction includes a deduction of 2,768 shares that were sold by the reporting person on June 5, 2019, as initially reported in the Form 4 filed on behalf of the reporting person on June 7, 2019. For further information, please refer to the Form 4/A filed on behalf of the reporting person on the date hereof.
