Explanation of Responses:

1. Represents shares to be received upon settlement of the 100% vesting of a performance-based restricted stock unit award granted on March 1, 2021 (the "PSU award"). The PSU award was granted per the terms of the Issuer's Long-Term Incentive Program, and the number of shares disclosed reflects vesting at 100% of the target level on March 31, 2023, the date on which the Reporting Person ceased to be a Section 16 insider of the Issuer, pursuant to the Separation Agreement and Release between the Reporting Person and the Issuer, dated March 31, 2023 (the "Separation Agreement"), a copy of which will be filed as an exhibit to the Issuer's quarterly report on Form 10-Q for the fiscal quarter ending March 31, 2023. Pursuant to the Separation Agreement, upon effectiveness of the ADEA waiver and release on April 8, 2023, the PSU award will be settled in shares.
