Explanation of Responses:

1. The Reporting Person received 413,047 shares of Issuer common stock from a distribution from Kennedy Cabot Acquisition, LLC.

2. Various family members included in the Reporting Person's indirect ownership received 63,546 shares of Issuer common stock from a distribution from Kennedy Cabot Acquisition, LLC. The Reporting Person disclaims beneficial ownership of such shares of Issuer common stock, except to the extent of the Reporting Person's pecuniary interest therein.
