Explanation of Responses:

1. Includes 3,000 Restricted Stock Units granted on 5/12/2023, with 1,500 shares vesting on each of 3/16/2024 and 3/16/2025, and 1,500 Restricted Stock Units granted on 3/17/2022, with 1,500 shares vesting on 3/17/2024.

2. The option, representing a right to purchase a total of 3,000 shares, became exercisable in five equal annual installments of 600 shares each beginning on May 9, 2019, which was the first anniversary of the date on which the option was granted.
