Explanation of Responses:

1. The Reporting Person was granted 1,176 shares of restricted stock pursuant to the Boston Omaha Corporation 2022 Long-Term Incentive Plan. The shares vest on June 30, 2023, provided that the Reporting Person remains as a director of Boston Omaha Corporation on such vesting date, subject to certain exemptions.

2. On January 5, 2023, the Reporting Person inadvertently filed a Form 4 which misstated the total amount of securities owned by the Reporting Person following such transaction, indicating a total of 6,176 shares of Class A common stock in column 5 instead of 11,176 shares of Class A common stock. The 5,000 shares of Class A common stock inadvertently omitted from that total amount were previously reported on a Form 4 filed by the Reporting Person on June 14, 2022.
