Explanation of Responses:

1. Each restricted stock unit represents a contingent right to receive one share of the Issuer's Class A common stock.

2. On June 23, 2023, the Issuer completed a 1-for-20 reverse stock split (the "Reverse Stock Split"). This amount has been adjusted to give effect to the Reverse Stock Split.

3. 100% of the restricted stock unit grant will vest on April 3, 2024.
