Explanation of Responses:

1. The option vests with respect to 25% of the shares commencing on July 30, 2021 and on each of the first, second and third anniversaries thereof, respectively, subject to the reporting person's continuous service to the Company on each applicable vesting date; provided that, in the event of a change in control (as defined in the 1847 Goedeker Inc. 2020 Equity Incentive Plan), the option will vest in full.
