Explanation of Responses:

1. The Reporting Person was granted restricted stock units ("RSUs") as the annual award made on the annual meeting date pursuant to the terms of the Issuer's Non-Employee Director Compensation Policy, and each RSU represents a contingent right to receive one share of the Issuer's Common Stock.

2. The RSUs shall be fully vested on the first anniversary of the grant date of such RSUs.
