Explanation of Responses:

1. On May 11, 2023, the Reporting Person was granted an option to purchase 500,000 shares of common stock pursuant to the Issuer's 2020 Omnibus Equity Incentive Plan. The option will vest quarterly over four years from the date of the grant. The option is exercisable for a term of ten years.
