Explanation of Responses:

1. The stock options herein reflect grants to the Reporting Person pursuant to the OMNIQ Corp. 2021 Equity Incentive Plan. The stock options vest in even quarterly installments over 2 years and expire on March 1, 2027. Upon exercise, the underlying net options convert into shares of the issuer's common stock on a one-for-one basis.
