Explanation of Responses:

1. This stock option was granted on December 7, 2022, with the exercise price set based on the closing price of the underlying common stock as of that date. The stock option was granted contingent upon stockholder approval of an increase in common shares reserved for the company's stock incentive plan. Such approval occurred on August 1, 2023, so that is the date upon which the stock option is deemed granted pursuant to SEC reporting guidance.

2. Stock option becomes exercisable in three equal annual installments on the first three anniversary dates of the grant.
