Explanation of Responses:

1. Each PSU represents the right to receive, at vesting, one share of the Issuer's common stock. The PSUs were granted March 20, 2023, subject to performance requirements related to the Issuer's 2023 adjusted EBITDA. Based upon actual 2023 adjusted EBITDA as approved by the Issuer's Compensation Committee on March 12, 2024 (the "Determination Date"), 267,660 of the PSUs (i.e. 97.25% of the PSUs originally granted) qualified for time-based vesting to take place in two equal installments on the first and second anniversaries of the Determination Date, respectively, subject to the Reporting Person's continued service.
