Explanation of Responses:

1. The Reporting Person was granted Restricted Stock Units ("RSUs") which represent a contingent right to receive one share of Class A Common Stock for each RSU. The RSUs are subject to a service-based vesting requirement, which shall be satisfied on the earlier of the first day of the month that follows the one-year anniversary of October 18, 2021 or on the date of the next regular annual meeting of the Company's stockholders held following October 18, 2021, provided that the Reporting Person remains in continuous service through such vesting date.
