Explanation of Responses:

1. On February 6, 2023, through a cashless conversion, a line of credit note between the Company and the Reporting Person was paid down $880,000 in exchange for 22,005 shares of the Company's common stock valued at $39.99 pursuant to the Company's EB-5 Program.

2. This transaction involved a gift of securities by the Reporting Person to her child. The Reporting Person disclaims beneficial ownership of the shares held by her child, and this report should not be deemed an admission that the Reporting Person is the beneficial owner of her child's shares for purposes of Section 16 or for any other purpose.
