Shares of restricted common stock issued in consideration for serving on the Board of Directors and as an Executive Committee Member, vesting at the rate of (i) 1/2 on December 26, 2023; and (ii) 1/2 on January 3, 2024, subject to the reporting person's continued service through the applicable vesting dates.
