Explanation of Responses:

1. The RSUs will be net settled in shares of Common Stock.

2. Each RSU represents a right to receive one share of Common Stock granted pursuant to the 2021 Equity Incentive Plan (amended and restated as of April 22, 2024).

3. The RSUs will vest ratably over three years from the April 29, 2025 grant date. One-third (1/3) of the units shall vest on April 29, 2026. One-third (1/3) of the units shall vest on April 29, 2027. One-third (1/3) of the units shall vest on April 29, 2028.
