Explanation of Responses:

1. In connection with the vesting of performance stock units previously granted to the reporting person, the reporting person received 3,250 shares of common stock of which 1,625 shares of common stock were deferred. The reporting person is therefore reporting the acquisition of a 3,250 common shares and the subsequent disposition of 1,625 shares of common stock, which were disposed of to permit the cash value of the awards to be credited to the reporting person's deferred compensation plan account.

2. Each performance stock unit represents one contingent right to receive one share of common stock

3. These performance stock units vest in three equal installments based on the achievement of certain performance objectives on June 30, 2023, March 31, 2024 and March 31, 2025.
