Explanation of Responses:

1. Represents the settlement of vested restricted stock units (RSUs) with the delivery of shares of common stock, subject to withholding for taxes. Each restricted stock unit ("RSU") represents a contingent right to receive one share of common stock, par value $0.01 per share of ConMed Corporation (the "Company") and will be subject to the terms and conditions of the Company's 2018 Long-Term Incentive Plan and generally vest in a four year period with zero (0) shares vesting in 2026; 8,572 shares vesting on 3/3/27; 6,429 shares vesting on 3/3/28 and 2,143 vesting on 3/3/29.
