Explanation of Responses:

1. These options were issued to Mr. Weimer on January 26, 2023, pursuant to the Quantum Computing Inc. 2022 Equity and Incentive Plan and according to the terms of the employment agreement by and between Mr. Weimer and the Issuer. These options vest in equal quarterly increments of 25,000 shares starting on March 31, 2023, June 30, 2023, September 30, 2023 and December 31, 2023, subject to Mr. Weimer's continuing services for the Issuer in the capacity in which the grant was received on each applicable vesting date.
