Explanation of Responses:

1. Each restricted stock unit represents a contingent right to receive one share of common stock.

2. The restricted stock units are scheduled to vest in three equal installments on March 15 of each of 2022, 2023 and 2024, provided they shall vest in full immediately prior to a Change in Control (as defined in the 2019 Omnibus Incentive Plan of the issuer), subject to continued service through each vesting date.

3. The nonqualified stock options are scheduled to vest and become exercisable in full immediately prior to the earlier to occur of (i) the 2022 annual meeting of stockholders of the issuer and (ii) a Change in Control, subject to continued service through each vesting date.
