Explanation of Responses:

1. On May 11, 2023, the Reporting Person was granted an option to purchase 1,000,000 shares of common stock pursuant to the Issuer's 2020 Omnibus Equity Incentive Plan. The option vesting schedule is (i) 50% on the date of grant, and (ii) 50% vested quarterly over two years from the date of grant. The option is exercisable for a term of ten years.
