Explanation of Responses:

1. A phantom share is the economic equivalent of one share of common stock and, subject to the applicable vesting requirements, becomes payable in cash.

2. These phantom shares vest in equal installments on each of the first three anniversaries of the award.

Remarks:

The Form 4 originally filed on behalf of the reporting person on February 2, 2023 (the "Original Filing") incorrectly reflected the number and price of phantom shares granted to the Reporting Person. This amendment is intended to replace the Original Filing in its entirety.
