Explanation of Responses:

1. On May 25, 2021, subject to approval at the June 15, 2021 shareholders meeting, the reporting person was granted these stock options that vest upon achievement of certain performance based conditions. The performance based condition was satisfied on September 7, 2022, resulting in vesting of the options.

2. On June 1, 2022, the Issuer effected a 1-for-10 reverse stock split (the "Reverse Stock Split"). The number of stock options and the exercise price reported on this Form 4 have been adjusted to reflect the Reverse Stock Split.
