Explanation of Responses:

1. Reflects deferred stock units issued pursuant to the Tivity Health, Inc. Director Deferred Compensation Program, in lieu of an elected portion of the cash retainer fees earned for the director's service on the issuer's Board of Directors. The deferred stock units will be distributed on January 1, 2022. The number of deferred stock units acquired was calculated by dividing the elected portion of the deferred cash retainer amount by the closing price of the issuer's common stock on the date the cash retainer was payable.

2. Reflects deferred stock units issued pursuant to the Tivity Health, Inc. Director Deferred Compensation Program, in lieu of an elected portion of the cash retainer fees earned for the director's service on the issuer's Board of Directors. The deferred stock units will be distributed in two equal installments on January 1, 2023 and January 1, 2024. The number of deferred stock units acquired was calculated by dividing the elected portion of the deferred cash retainer amount by the closing price of the issuer's common stock on the date the cash retainer was payable.

Remarks:

This amendment to the reporting person's previously filed Form 4 is being filed solely to correct an error with respect to the distribution dates with respect to the reporting person's deferred stock unit award.
