Explanation of Responses:

1. Represents initial equity grant for Reporting Person in connection with his appointment as a Board of Director. The awards vest over three years, with the following schedule: 33%, 33% and 34% of the total number of shares vesting on each one-year anniversary of the grant date, subject to Reporting Person's continued service as an employee of Conformis through the applicable vesting dates, and are subject to certain forfeiture provisions.
