Explanation of Responses:

1. The purchase price of the common stock being reported is the closing price per share immediately preceding the entering into of the binding agreement to issue the securities. These shares were purchased by the Reporting Person directly from Issuer.

2. Granted pursuant to the 2021 Stock Incentive Plan. One third (1/3) of the Option will vest at the one-year anniversary of the grant date and the remaining unvested Option will become vested and exercisable 1/24th every month thereafter until the Option is 100% vested which shall occur on the three-year anniversary of the grant date.
