Explanation of Responses:

1. Represents a restricted stock unit ("RSU") award granted to the Reporting Person pursuant to the Issuer's non-employee director compensation policy. The RSU award vests in full on the date of the next annual meeting of the Issuer's stockholders ("Annual Meeting") following the grant date (or the date immediately preceding the date of the Annual Meeting if the Reporting Person's service as a director ends at such Annual Meeting as a result of the director's failure to be re-elected or the director not standing for re-election), subject to the Reporting Person's service as a director with the Issuer on such date.

2. The Reporting Person is deemed to hold the award for the benefit of certain funds (the "In-Cap Funds") managed by Inclusive Capital Partners, L.P. and indirectly for Inclusive Capital Partners, L.P., and may transfer the award directly to the In-Cap Funds. The Reporting Person disclaims beneficial ownersip of the securities reported herein except to the extent of his pecuniary interest therein, if any.
