The forfeiture restrictions with respect to thirty-three and one-third percent (33-1/3%) of the restricted shares (adjusted to avoid the vesting of fractional shares) shall lapse on each anniversary of the award date, commencing with the first anniversary of the award date and ending on the third anniversary of the award date.
