Explanation of Responses:

1. Pursuant to a resolution adopted by the Board of Directors of the Issuer, on the dates that are six (6) and twelve (12) months from the Annual Meeting of Stockholders (each, the "Grant Date"), each non-employee director receives a fully vested and unrestricted stock award under the Issuer's Amended and Restated 2012 Stock Incentive Plan (the "Plan"). Each stock award consists of that number of whole shares of common stock of the Issuer, subject to adjustment for rounding, equal in value to $50,000, based on the Fair Market Value of the issuer's common stock on the respective Grant Date.
