Explanation of Responses:

1. These restricted shares will vest in equal increments of 500 shares on each of the dates three months, six months, and nine months after May 12, 2022 (the "2022 Transaction Date"), and 500 shares that vest on the earlier of (a) 12 months after the 2022 Transaction Date, or (b) the date of the Company's Annual Meeting of Shareholders held approximately one year after the 2022 Transaction Date.
