Explanation of Responses:

1. The 63,637 shares represent time-vesting restricted stock units granted pursuant to the Company's 2014 Long-Term Incentive Plan and vest in equal installments on September 22, 2022, September 22, 2023 and September 22, 2024.

2. The 127,274 shares represent performance-based restricted stock units granted pursuant to the Company's 2014 Long-Term Incentive Plan. Subject to the satisfaction of certain performance criteria, the restricted stock will vest on September 22, 2024. Reflects the maximum number of shares that may vest.

3. Reflects a reduction of 26,826 shares due to the cancellation of 26,826 shares of performance-based restricted stock that failed to vest for the performance period ended June 30, 2021.
