Explanation of Responses:

1. Represents shares underlying performance-based restricted stock units granted in 2018, after certification of the issuer's financial results for the 2018-2020 performance period. The award, which remains subject to service-based vesting requirements, will vest in full in April 2021 on the anniversary of the grant date.

2. Represents shares underlying performance-based restricted stock units granted in 2018, after certification of the issuer's financial results for the 2018-2020 performance period. The award, which remains subject to service-based vesting requirements, will vest as to 50% of the shares in April 2022 and as to 50% of the shares in April 2023, in each case on the anniversary of the grant date.
