Explanation of Responses:

1. Represents shares of restricted stock granted on March 24, 2021 under the 2019 Omnibus Stock and Incentive Plan for Capital Senior Living Corporation (the "Plan"), which are scheduled to vest in three installments of 33%, 33% and 34% on March 24, 2022, March 24, 2023 and March 24, 2024, respectively.

2. Represents shares of performance-based restricted stock granted on March 24, 2021 under the Plan, which vest subject to the satisfaction of certain performance conditions for the years ending December 31, 2021, December 31, 2022 and December 31, 2023 (but does not include additional shares of performance-based restricted stock that are subject to achievement of certain maximum performance objectives).
