Explanation of Responses:

1. Reflects restricted stock units that vest on the earlier of (i) the first anniversary of the Grant Date (such Grant Date being 5/20/2021), or (ii) the first annual meeting of the stockholders of Tivity Health that occurs after the Grant Date. The restricted stock units will be distributed on January 1 of the year following the date on which the reporting person ceases to be a director on the issuer's Board of Directors.

Remarks:

This amendment to the reporting person's previously filed Form 4 is being filed solely to include information regarding the distribution date with respect to the reporting person's restricted stock unit award.
